Genesis Digital Corp provides digital marketing, website development, AI implementation, and related technology services as described on our website and in any Statement of Work agreed upon between you and us.

CLIENT RESPONSIBILITIES

Client Content

You are solely responsible for determining the appropriateness and legality of the content you provide to us and how it is used in connection with our services. This includes ensuring that any content you provide does not infringe upon intellectual property rights, privacy rights, or publicity rights of any person and is not defamatory, obscene, or in violation of applicable laws and regulations.

Systems Requirements

You shall be responsible for making, at your own expense, any changes or additions to your current systems, software, and hardware that may be required to support operation of the deliverables we provide.

Compliance with Laws

You shall comply with all applicable international and national laws that apply to your use of our services and deliverables, including data privacy laws, export regulations, and intellectual property laws.

INTELLECTUAL PROPERTY

License to Client Materials

By providing us with materials including but not limited to data, images, logos, and creative assets, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such materials solely for the purpose of providing services to you and, unless you specifically opt out in writing, for creating and publishing case studies on our company website.

Ownership of Deliverables

Unless otherwise specified in a written agreement, we retain ownership of all intellectual property rights in the deliverables we create. Upon full payment for our services, you will receive a non-exclusive license to use the deliverables for your business purposes.

HOSTING SERVICES

If we are providing hosted or cloud-based services to you, additional terms and conditions set forth in our Hosted Services Agreement shall apply. This document is available upon request.

LIMITATION OF LIABILITY

IN NO EVENT SHALL GENESIS DIGITAL CORP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Genesis Digital Corp and our affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to the service or your violation of these Terms of Use.

TERMINATION We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms of Use.
